CODE OF ETHICS

EDGAR ONLINE, INC.

The roles of Chief Executive Officer and Senior Financial Officers of EDGAR Online, Inc. (the "Company") carry with it a duty and responsibility to be constantly aware of the importance of ethical conduct when dealing with competitors, customers, stockholders and employees. As used in this Code of Ethics, the term Senior Financial Officer means each of the Company's Chief Financial Officer and the Company's Controller. As such, the Chief Executive Officer and all Senior Financial Officers of the Company are expected to exercise high standards of integrity and to apply the following guiding principles to their actions:

  1. To act with honesty and integrity, avoiding actual or apparent conflicts of interest in personal and business relationships.
  2. To provide constituents with information that is accurate, complete, objective, relevant, timely and understandable, which the Company files with, or submits to, the Securities and Exchange Commission and in other public communications made by the Company.
  3. To comply with applicable rules and regulations of federal, state and local governments and other appropriate private and public regulatory agencies.
  4. To act with good faith, responsibly, with due care, competence and diligence and without misrepresenting material facts or allowing their independent judgment to be subordinated.
  5. To respect the confidentiality of information acquired in the course of their work except for disclosure when authorized or otherwise legally obligated to disclose; to not use confidential information acquired in the course of their work for personal advantage.
  6. To share knowledge and maintain skills important and relevant to their constituents' needs.
  7. To proactively promote ethical behavior as a responsible party among peers at the Company.
  8. To achieve responsible use of and control over all assets and resources employed or entrusted to them.
  9. To promptly report violations of this Code of Ethics to the Audit Committee of the Board of Directors in accordance with all applicable rules of procedure.
  10. To be held accountable for adherence to this Code of Ethics.

Failure to comply with this Code of Ethics may result in disciplinary action, including warnings, suspensions, termination of employment or such other actions as may be appropriate under the circumstances.

This Code of Ethics supplements, and is in addition to, the Company's Code of Conduct for directors, officers and employees of the Company.
